Terms of Service

These Terms of Service ("Terms") govern your use of the MimicReader.ai website and services (the "Service") operated by Schneider Improvement Ltd ("we", "us", "our"), a company registered in Scotland.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Terms

• You must be at least 13 years old to use the Service.
• You must provide a valid email address and accurate information when creating an account.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• One person may not maintain more than one free account.

2. Credits and Payments (PAYG)

2.1 Pay-As-You-Go Model

MimicReader.ai operates on a Pay-As-You-Go (PAYG) credit system. There are no subscriptions or recurring charges.

2.2 Free Tier

Every account receives 1 hour of free Standard audio generation per month. This allowance resets monthly and does not accumulate.

2.3 Purchased Credits

• Credits are purchased in packages (5h, 20h, or 100h) at the prices displayed at the time of purchase.
• Credits never expire. Once purchased, they remain in your account indefinitely.
• Credits are non-transferable between accounts.
• Credits are consumed when audiobook generation is completed (not when initiated).

2.4 Refunds

• Unused credit packages may be refunded within 14 days of purchase if no credits from that package have been consumed, in accordance with UK consumer rights law.
• Partially consumed credit packages are non-refundable, except as required by applicable law.
• If our Service fails to generate an audiobook due to a technical error on our side, we will refund the credits consumed for that generation.

2.5 Payment Processing

All payments are processed by Stripe. By making a purchase, you also agree to Stripe's Terms of Service. We do not store your payment card details.

3. Acceptable Use

You agree not to use the Service to:

• Upload, generate, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Infringe upon the intellectual property rights of others (do not upload copyrighted ebooks you do not have the right to convert)
• Generate audiobooks of content that promotes violence, hate speech, or discrimination
• Attempt to gain unauthorised access to other accounts, servers, or systems
• Use automated tools (bots, scrapers) to access the Service in a way that exceeds reasonable use
• Resell or redistribute the Service itself (you may distribute your generated audiobooks)
• Interfere with or disrupt the Service or its infrastructure
• Violate any applicable laws or regulations

4. Intellectual Property

4.1 Your Content

You own your content. You retain all rights to the ebooks you upload and the audiobooks we generate for you. We do not claim any ownership over your content.

By uploading content, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the Service (i.e., converting your ebook to an audiobook). This licence terminates when you delete the content or your account.

4.2 Your Responsibility

You represent and warrant that you have the right to upload and convert any content you submit. You are solely responsible for ensuring you have proper rights or licences for any copyrighted material you upload.

4.3 Our Service

The MimicReader.ai platform, including its design, code, AI models, pipeline, and branding, is our intellectual property (or licensed to us). You may not copy, modify, or create derivative works of our Service.

4.4 Forum Content

By posting content in the forum, you grant us a non-exclusive, worldwide licence to display that content as part of the forum feature. You can delete your posts at any time.

4.5 Copyright Complaints

We respect the intellectual property rights of others. If you believe that content hosted on MimicReader.ai infringes your copyright, please send a written notice to [email protected] containing:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material you claim is infringing, with enough detail for us to locate it
• Your contact information (name, email address)
• A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf

We will investigate valid notices and remove or disable access to infringing material promptly, typically within 5 business days.

4.6 Repeat Infringer Policy

We maintain a policy of terminating the accounts of users who are repeat infringers. If a user receives three valid copyright complaints, their account will be permanently terminated and any unused credits will be forfeited.

4.7 Content Retention

Uploaded ebooks are processed for the sole purpose of generating your audiobook. We do not distribute, share, or make your uploaded files available to other users. You may delete your uploaded ebooks at any time from your library.

5. AI-Generated Content

• Audiobooks generated by MimicReader.ai are produced by artificial intelligence (AI) text-to-speech technology, not human narrators.
• AI-generated audio may contain occasional imperfections, mispronunciations, or artifacts.
• We make no warranty that AI-generated audio will be error-free or suitable for any particular purpose.
• You are responsible for reviewing generated content before distributing it.
• If you distribute AI-generated audiobooks, we recommend disclosing that they were generated by AI.

6. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform maintenance, updates, or modifications that temporarily affect availability.
• Generation times depend on demand and GPU availability. We provide estimates but do not guarantee specific completion times.
• We reserve the right to implement fair-use limits to ensure equitable access for all users.

7. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

8. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

9. Termination

9.1 By You

You may delete your account at any time from your profile settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, with or without notice. In cases of serious violations (illegal content, abuse), we may terminate immediately. For minor violations, we will attempt to notify you first.

9.3 Effect of Termination

• Upon termination, your right to use the Service ceases immediately.
• Any unused credits at the time of termination for violation of Terms are forfeited.
• If we terminate your account without cause, we will refund any unused purchased credits.
• Provisions that by their nature should survive termination (limitation of liability, indemnification, governing law) shall survive.

10. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on the website or by email at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms affects your statutory rights as a consumer under UK law.

12. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor entity.
